This Messaging Policy and Acceptable Use Policy (“AUP”) governs the use of messaging, outreach, communications, APIs, webhooks, and related features offered by Codas Labs, LLC (“Codas Labs,” “we,” “us,” or “our”) across our software platforms, applications, training programs, and services (collectively, the “Services”).

This AUP applies to all users, including customers, partners, affiliates, and any third parties using our Services.

1. Purpose of This Policy

Codas Labs provides tools and services that may enable users to send communications via email, SMS, MMS, voice calls, messaging apps, and other channels.

This policy exists to:
Protect recipients from abuse or unlawful communications
Maintain compliance with carrier, platform, and regulatory requirements
Protect Codas Labs, its vendors, and its partners from legal and reputational risk

2. Sender of Record & Responsibility

Depending on context, communications sent using our Services may be sent:
By Codas Labs, including communications to our own leads, customers, and subscribers; and/or
By you, acting as the Sender of Record, where you control audience selection, content, and delivery.

When you are the Sender of Record, you are solely responsible for:
Lawful collection of recipient data
Obtaining required consents
Message content and claims
Compliance with applicable laws and regulations

Codas Labs acts solely as a technology provider in such cases and does not assume responsibility for your messaging activities.

3. Consent, Opt-In, and Opt-Out

You must ensure that all communications sent using our Services comply with applicable consent and opt-out requirements, including but not limited to:
CAN-SPAM Act
Telephone Consumer Protection Act (TCPA)
A2P 10DLC requirements
GDPR and international data protection laws

Recipients must be provided with:
Clear identification of the sender
Clear instructions to opt out (e.g., “STOP” for SMS, unsubscribe links for email)

Opt-out requests must be honored promptly and permanently.

4. Prohibited Content and Activities

You may not use the Services to send, promote, or facilitate:
Spam or unsolicited bulk communications
Deceptive, misleading, or fraudulent content
Illegal goods, services, or activities
Threatening, abusive, harassing, or defamatory messages
Malware, phishing, or harmful code
Content that violates intellectual property or privacy rights
Content intended to evade filters, carrier rules, or regulations

5. AI-Generated Content

If you use AI-powered features provided by Codas Labs:
You remain responsible for reviewing, editing, and approving all generated content before sending
AI outputs are provided “as is” and may be inaccurate, incomplete, or inappropriate
Codas Labs does not guarantee compliance, accuracy, or results from AI-generated content

You must ensure AI-generated messages comply with all applicable laws and this AUP.

6. Abuse Prevention & Enforcement

Codas Labs reserves the right, at its sole discretion, to:
Monitor usage for abuse, fraud, or policy violations
Suspend, restrict, or terminate access to Services
Block specific messages, numbers, domains, or accounts
Require corrective actions or additional verification

These actions may be taken with or without notice, particularly where necessary to protect compliance, carriers, or recipients.

7. APIs, Webhooks, and Integrations

Access to APIs, webhooks, or integrations may be subject to additional terms and technical limitations.

You may not:
Circumvent safeguards or rate limits
Use APIs to facilitate prohibited activities
Interfere with platform stability or security

8. Indemnification

You agree to indemnify and hold harmless Codas Labs from any claims, fines, penalties, damages, or losses arising from your use of the Services in violation of this AUP or applicable law.

9. Modifications to This Policy

We may modify this AUP at any time. Continued use of the Services after changes become effective constitutes acceptance of the revised policy.
