These Terms of Service (“Terms”) govern your access to and use of any websites, software applications, platforms, tools, training programs, educational materials, content, communications, APIs, integrations, or related services (collectively, the “Services”) provided by Codas Labs, LLC, a North Carolina limited liability company (“Codas Labs,” “we,” “us,” or “our”).

Codas Labs (codaslabs.com) operates as a holding and operating company for multiple brands, products, and services, including Codas Media (codasmedia.com), its training and coaching division, as well as various software-as-a-service offerings now existing or developed in the future.

By accessing, purchasing, registering for, or using any Service, you agree to be legally bound by these Terms.

1. Eligibility and Acceptance

You must be at least thirteen (13) years of age to access or use the Services. If you are under eighteen (18), you represent that you have obtained permission from a parent or legal guardian.

By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Services complies with all applicable laws and regulations. If you do not agree to these Terms, you must not use the Services.

2. Scope and Structure of These Terms

These Terms apply to all Services offered by Codas Labs, including software products, applications, training programs, coaching services, events, communications, APIs, and integrations, regardless of delivery method or platform.

Certain Services may be subject to additional product-specific terms, acceptable use policies, refund policies, or pricing disclosures, which are incorporated by reference. In the event of a conflict, these Terms shall govern unless expressly stated otherwise in writing.

3. No Personal Liability

You acknowledge and agree that all individuals associated with Codas Labs, including founders, officers, directors, employees, contractors, agents, and public representatives (including Mark Thompson), act solely in a representative capacity on behalf of Codas Labs, LLC.

No individual shall have any personal liability arising from or related to the Services. All obligations, liabilities, and responsibilities are undertaken exclusively by Codas Labs, LLC.

4. Payments and Third-Party Processing

Payments for Services may be processed through third-party payment providers, including but not limited to GoHighLevel, PayKickstart, Stripe, and PayPal. Codas Labs does not store raw credit card or banking information.

Refunds, billing cycles, subscriptions, payment plans, cancellations, and chargeback policies are governed by product-specific refund and billing terms, which are disclosed at the time of purchase and incorporated by reference.

5. Messaging, Outreach, and Sender of Record

Codas Labs may send communications, including but not limited to email messages, text messages (SMS/MMS), voice calls, and other electronic communications, to individuals who have provided contact information to Codas Labs, including leads, customers, trial users, subscribers, and event registrants. Such communications may include transactional notices, service updates, educational content, marketing messages, and promotional communications, where permitted by applicable law. In these instances, Codas Labs acts as the Sender of Record and is responsible for its own compliance with applicable messaging, privacy, and consumer protection laws.

Separately, certain Services enable users to send communications to their own contacts using Codas Labs technology. In those instances, the user is the Sender of Record and retains full responsibility and control over message content, recipient lists, targeting criteria, consent, timing, and opt-out handling. Codas Labs acts solely as a technology provider and does not initiate or control such user-sent communications.

Users are solely responsible for ensuring that their communications comply with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, A2P 10DLC requirements, carrier policies, international messaging regulations, and applicable data protection laws. Users must maintain appropriate records of consent where required and must honor opt-out and unsubscribe requests promptly.

Codas Labs reserves the right, in its sole discretion, to monitor messaging usage and to restrict, suspend, or terminate access to messaging features, numbers, or accounts to protect legal compliance, carrier relationships, platform integrity, or the rights of third parties.

6. Acceptable Use and Abuse Prevention

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any manner that is unlawful, deceptive, abusive, fraudulent, harmful, disruptive, or that infringes upon the rights of others or violates applicable laws or regulations.

Codas Labs reserves the right, in its sole discretion, to investigate suspected misuse and to suspend or terminate access to any Service at any time, with or without notice, to prevent abuse, protect compliance obligations, or safeguard the platform and its users.

7. Artificial Intelligence and Automation

Certain Services may utilize artificial intelligence, machine learning models, or automated decision-making systems. You acknowledge that AI-generated outputs may be inaccurate, incomplete, biased, or unsuitable for your intended use.

AI-generated content is provided on an “as-is” basis and does not constitute legal, financial, medical, or professional advice. You are solely responsible for evaluating and using any AI-generated outputs and assume all risks associated with their use.

Codas Labs makes no representations or warranties regarding the accuracy, reliability, or suitability of AI-generated results.

8. No Guarantees or Results

The Services are provided for educational, informational, and operational purposes only. Codas Labs does not guarantee any specific outcomes, results, earnings, growth, performance, leads, or success.

Any examples, testimonials, or illustrative results are not promises or guarantees. Your results depend on numerous factors beyond Codas Labs’ control, including your actions, experience, market conditions, and compliance with applicable laws.

9. Intellectual Property and Copyright

All software, applications, content, training materials, documentation, methodologies, designs, trademarks, service marks, logos, workflows, and other intellectual property associated with the Services are owned by Codas Labs or its licensors and are protected by United States and international intellectual property laws.

Subject to your compliance with these Terms, Codas Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes. You may not copy, reproduce, modify, distribute, resell, sublicense, reverse engineer, or create derivative works from any portion of the Services without prior written consent.

Any feedback, suggestions, or ideas you submit may be used by Codas Labs without compensation or obligation.

10. APIs, Webhooks, and Integrations

Certain Services may provide access to APIs, webhooks, or third-party integrations. Availability, limits, and functionality may vary by product and may be modified or discontinued at any time without liability.

You are responsible for ensuring that your use of APIs or integrations complies with applicable laws and third-party terms.

11. Third-Party Services

The Services may rely on or integrate with third-party providers, including hosting services, payment processors, AI model providers, telecom carriers, and analytics platforms. Codas Labs is not responsible for outages, failures, data loss, or changes caused by third-party services beyond its reasonable control.

12. Termination

Codas Labs may suspend or terminate your access to the Services at any time, with or without notice, for violations of these Terms, legal or regulatory risk, abuse, misuse, or non-payment. Termination does not relieve you of any outstanding payment obligations.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODAS LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODAS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL CODAS LABS’ TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO CODAS LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Codas Labs, LLC and its affiliates from any claims, damages, losses, liabilities, or expenses arising from your use of the Services, your communications, your violation of these Terms, or your violation of applicable laws or third-party rights.

16. Arbitration and Class Action Waiver

All disputes arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration, rather than in court. You waive any right to a jury trial or to participate in a class action. Arbitration shall be conducted on an individual basis only.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-laws principles.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

19. Modifications

Codas Labs reserves the right to modify these Terms at any time. Continued use of the Services after any modification constitutes acceptance of the revised Terms.
